General Provisions

This document sets out the General Terms and Conditions under which Parking Solutions Ltd., UIC 207952741 (hereinafter referred to as “Park Aid” and/or “we”), provides services through a parking-space sharing platform operating throughout the Republic of Bulgaria via the website https://parkaid.bg and the Park Aid mobile application.

These Terms are binding on all users (“Users” or “you”) of the Website and Mobile Application, whether registered or not. By downloading the Mobile Application, creating an account, publishing a parking-space rental listing or booking a parking space, users agree to, fully accept and undertake to comply with these General Terms and Conditions.

These General Terms and Conditions apply to your passive use of the Website and Mobile Application. If you wish to rent a parking space through the Mobile Application, you will be bound by our Agreement with Vehicle Drivers (Drivers).

If you own a parking space and wish to rent it out through us, you will be bound by our Agreement with Parking Space Owners (Owners).

Registration

By clicking the “Register” button, each User agrees to provide Park Aid with the minimum mandatory information required to create a user account in the Mobile Application, namely:

• Full name
• Email address
• Telephone number
• Password

Users’ Rights and Obligations

If you are the owner of a parking space and wish to rent it out, you are bound to Park Aid by the Agreement with Parking Space Owners. If you are the driver of a motor vehicle and wish to rent a parking space, you are bound to Park Aid by the Agreement with Vehicle Drivers.

Users may browse parking spaces advertised for rent in the Park Aid Mobile Application.

Users may check the status of their parking-space rental bookings in the “My Bookings” section of their account in the Mobile Application.

Users may not advertise directly to, or offer services to, other users without Park Aid’s express consent.

When using the services provided through the Website and Mobile Application, every User, whether a registered user, parking-space owner or otherwise, undertakes:

• not to violate and to respect the fundamental rights and freedoms of citizens and human rights under the Constitution and laws of the Republic of Bulgaria and recognised international instruments;
• not to damage another person’s good name and not to call for the violent overthrow of the constitutionally established order, the commission of a crime, violence against individuals, or the incitement of racial, national, ethnic or religious hostility;
• not to infringe the property or non-property rights or interests of others, whether absolute or relative, including ownership rights, intellectual property rights and others;
• to comply with Bulgarian law, applicable foreign laws, moral principles, accepted standards of conduct and Internet etiquette when using the services provided by Park Aid;
• to notify the Park Aid team of any violation committed or discovered while using the services provided;
• not to upload, send, transmit, distribute, use in any way or make available to third parties any software, computer programs, files, applications or other materials containing computer viruses, unauthorised remote-control systems (“Trojan horses”), computer code, or materials intended to interrupt, impede, disrupt or restrict the normal operation of computer hardware or software or telecommunications equipment, or intended to gain unauthorised entry to or access to third-party resources or software;
• not to engage in malicious acts;
• to compensate Park Aid and all third parties for all losses suffered and loss of profit, including any costs and legal fees paid, arising from claims brought by third parties and/or compensation paid to third parties in connection with web pages, hyperlinks, materials or information that the User has used, placed on a server, sent, distributed, disclosed to third parties or made available through https://www.parkaid.bg and the Park Aid Mobile Application in breach of the law, these General Terms and Conditions, accepted standards of conduct or Internet etiquette;

Users undertake to provide accurate and valid personal data as described in our Personal Data Protection Policy. Such data may include their full name, contact telephone number, vehicle registration number and other information.

Park Aid’s Rights and Obligations

Park Aid has the right, but not the obligation, to retain materials and information stored on Park Aid’s server.

Park Aid has the right to collect and use information relating to its Users.

The information referred to in the preceding clause may be used by Park Aid unless the User expressly objects by sending a notice to admin@parkaid.bg. The information is collected and used to improve the services offered. All purposes for which the relevant information may be used will comply with Bulgarian law, applicable international instruments and accepted standards of conduct.

Park Aid shall not be liable for failure to perform its obligations under this agreement where circumstances arise that Park Aid did not foresee, could not have foreseen and/or was not required to foresee, including fortuitous events, problems with the global Internet network and the provision of services outside Park Aid’s control.

Park Aid may install cookies on Users’ computers. Cookies are text files stored by a website on each User’s hard drive, which identify the User and enable the tracking of their actions, the websites they visit, the hyperlinks they use, the information they use and record, and other information.

Park Aid may terminate your right to use the Mobile Application at any time by giving you one month’s prior written notice.

Contact Us

You can obtain further information about the services offered by Park Aid or submit any other enquiries using the email address and telephone number provided in the “Contacts” section of the Website.

Intellectual Property

By accessing the Website and Mobile Application, you agree to comply with the law and respect the intellectual property rights of third parties. Use of the Website and Mobile Application is subject to laws governing the use of intellectual property. You agree not to download, display, perform, transmit or otherwise distribute information or content in breach of third-party copyrights, trademarks or other intellectual property or proprietary rights. You agree to comply with laws governing ownership and use of intellectual property and copyright, and you bear full responsibility for any violation of applicable laws and any infringement of third-party rights caused by content provided or transmitted, or made available or transmitted using your username. The burden of proving that any content does not violate any law or third-party right rests solely with you/the Users.

Rules and Conditions for Use of a Parking Space

For the effective management of the car park, it is important that you:

• comply with all signs in the car park, including these General Terms and Conditions and all notices;
• park within the boundaries of a marked parking space;
• do not park in a space designated for a specific purpose when you are not entitled to do so (for example, without limitation, parking in a space reserved for persons with disabilities without the appropriate disability permit and/or in a space marked as reserved in advance).

If you fail to comply with these requirements, we may issue you a Parking Violation Notice requiring you to pay any unpaid parking charges together with an additional amount representing a reasonable estimate of the additional costs we will incur as a result of your non-compliance, including, without limitation, debt-recovery costs. Specific details of the parking violation charge are available at each car park.

Details of how to pay the parking violation charge, payment deadlines, what will happen if payment is not made within the specified period, and the appeals process will be set out in the Parking Violation Notice.

By parking your vehicle in the car park, you agree that we may capture, use and process your vehicle registration number and personal data through video surveillance and automatic number-plate recognition (where applicable) for the purposes of enforcing the rules, calculating the relevant parking charge (where applicable) and collecting any unpaid parking charges.

If you, your vehicle, its contents or its passengers damage the car park and/or equipment in the car park, then, unless the damage is a direct result of our negligence, we will seek to recover from you the repair costs and related administrative expenses.

Users of parking spaces are prohibited from towing another vehicle unless Park Aid has expressly consented.

Users of parking spaces are prohibited from discarding objects and/or rubbish on the premises being rented (the car park).

Users of parking spaces are prohibited from adding or draining fuel from the vehicle located on the rented premises, or from any other nearby vehicle.

Users of parking spaces are prohibited from smoking and consuming any alcoholic beverages within the car park.

Park Aid does not tolerate antisocial behaviour in any car park connected to the system.

Prices

The parking price payable by each Driver varies according to various factors, such as duration of stay, time of year, type of car park and others. The final amount due will be displayed in our application. Drivers must pay the parking charge and comply with all instructions displayed on signs, as supplemented by these General Terms and Conditions.

Payment of the amount due is made by redirecting the User to the Stripe payment system. By agreeing to these General Terms and Conditions, Drivers confirm that they have read and understood Stripe’s terms and conditions, available at https://stripe.com/en-bg/legal/ssa. Park Aid is not responsible for technical difficulties and/or inability to provide a payment option due to technical failures on a third-party website.

Wallet

Park Aid offers you the free Wallet service, which facilitates payments through Park Aid. For the avoidance of doubt, the Wallet service is not a payment service, and units credited to the Wallet cannot be used for payments outside Park Aid, cannot be transferred between Users and do not constitute electronic money within the meaning of the provisions governing the provision of payment services.

Use of the Wallet is subject to the following rules:

• You may top up your Wallet by depositing funds in euros into Park Aid’s account through Stripe, in accordance with the information provided in the Mobile Application;
• Once the payment has been credited to the account, Park Aid transfers to your Wallet a number of units equal to the amount paid. This amount is updated after each transaction carried out by you that changes its value (a top-up increases the number of units in the Wallet, while payment of a rental fee decreases the number of units in the Wallet);
• You retain full and exclusive discretion to use the funds in your Wallet throughout the term of the Agreement with Parking Space Owners and/or the Agreement with Vehicle Drivers, provided that the relevant agreement(s) remain active.

You may request a refund at any time of funds deposited in the Wallet, up to the balance shown in the Wallet, taking into account payments made and additional amounts added by you. The request must be sent by email to admin@parkaid.bg from the email address associated with your registered account. The request must state the bank account number (IBAN) of the account holder and the account holder’s name. The Wallet funds will be returned without undue delay by transfer to the bank account you specify.

Security

Each User must check that the vehicle has been locked, its windows closed and its alarm, steering-wheel lock or other similar device activated, if fitted. We are not responsible for any consequences or losses arising from your failure to lock your vehicle properly.

All items left in the vehicle are the responsibility of the vehicle owner. Park Aid is not responsible for theft by third parties of property left in the vehicle.

Park Aid reserves the right to request access to information recorded by video-surveillance cameras located in rented parking areas, where such cameras are present, in order to assist in the proper management of abandoned vehicles.

Abandoned Vehicles

A vehicle is considered abandoned if it remains for more than 7 days after the rental period has expired without prior written notice.

Park Aid reserves the right to engage and/or permit a lawful authority to remove any abandoned vehicle (or, where we cannot identify the vehicle’s current lawful registered owner, to take steps to remove it ourselves). Before proceeding with the removal of abandoned vehicles, we will:

• refer the matter to the relevant authorities, which may include the local police;
• attach a notice to the vehicle at least 2 days before the proposed removal date, stating that the vehicle will be removed after that period has expired;
• attempt to contact the vehicle owner using the address, telephone number and any other information available, at least 2 days before the removal date.

Final Provisions

The General Terms and Conditions may be amended at any time by the Park Aid team, which also has the right to change the features of the services provided. These General Terms and Conditions may also be amended as a result of changes in applicable law. Park Aid undertakes to notify each User of amendments by publishing a notice of the changes in a prominent place on the Website and allowing sufficient time for Users to review them. If the User does not state that they reject the amendments, they will be deemed bound by them.

All disputes between the parties shall be resolved in a spirit of understanding and good faith. If no agreement is reached, all unresolved disputes, including disputes arising from or relating to the interpretation, invalidity, performance or termination of this agreement, as well as disputes concerning the filling of contractual gaps or adaptation to newly arising circumstances, shall be resolved by the competent court at the place where Park Aid is registered, in accordance with Bulgarian law.
